CREI helps qualified investors and sponsors obtain earnest money deposit financing for commercial real estate acquisitions. If possible, send us your unsigned PSA before signing so the proper EMD language can be coordinated from the start.
For qualified commercial real estate transactions requiring $25,000+ earnest money deposits.
Already Signed a PSA? Start Here
If your commercial real estate acquisition requires an earnest money deposit of $25,000 or more, send CREI your unsigned Purchase and Sale Agreement (PSA) before either party signs.
This allows us to coordinate the necessary financing provisions, buyer-entity structure, and escrow requirements before the agreement is executed.
Provide your negotiated, unsigned Purchase and Sale Agreement, proposed earnest money deposit amount, and anticipated deposit deadline.
We review the transaction and coordinate the required PSA language, acquisition-entity provisions, and escrow arrangements with the funding source and appropriate legal counsel.
Once the structure is approved and the necessary terms are accepted by the parties, the PSA can be executed and earnest money funding arranged, subject to final approval.
Already signed your PSA? You may still have options. Request a transaction review before making further changes.
If you've already signed your Purchase and Sale Agreement (PSA), contact CREI before making any changes or committing additional funds.
Earnest money deposit financing generally requires a specific acquisition structure established before the PSA is executed. An existing agreement may need to be amended or replaced to accommodate that structure.
Provide your signed agreement, including amendments, earnest money requirements, due diligence deadlines, and current escrow status.
We'll assess the transaction with our funding resources to determine whether an acceptable restructuring pathway exists.
If the transaction is eligible, the parties and their legal counsel may need to coordinate a revised agreement, buyer-entity changes, and escrow arrangements before funding can proceed.
All transactions are subject to funding-source approval, contractual requirements, and any necessary seller or escrow-agent consent.
Earnest Money Deposit (EMD) financing allows qualified real estate investors and developers to secure properties without tying up substantial amounts of their own capital during due diligence.
How the Financing Works
1. Transaction Review
Submit your unsigned PSA, deposit requirements, property information, and anticipated closing timeline.
2. Financing Approval
CREI coordinates the transaction review, required documentation, acquisition structure, and applicable financing fees.
3. Earnest Money Funding
Upon approval and completion of the required agreements, the EMD is transferred directly to the approved escrow account.
4. Closing or Deposit Return
At closing, the financed deposit is settled according to the approved agreements. If the acquisition is properly terminated while the deposit remains refundable, the funds are returned to the funding source under the applicable escrow instructions.
Your capital should remain available for opportunity; not unnecessarily restricted in escrow.
Funding availability, timing, fees, eligible properties, escrow arrangements, and transaction approval are subject to program requirements.
